Incode Corporation today announced the formation of its Intrance online dating service development unit to administer
Incode's various online dating properties. Incode also announced its plans to
rebrand KissyKat, a special interest online dating service devoted to pet and
animal lovers and their community, as dateFetch in connection with the
completion of Incode's proposed acquisition by BIB Holdings, Ltd. ("BIB")
(OTC Bulletin Board: BIBO).

Incode's plans are to acquire, develop and commercialize a number of
niche-driven online dating services, including its previously announced
KissyKat and VanityDate online dating services. Consolidating these brands under the Intrance banner is a
component of Incode's strategy to leverage the cost efficiencies of its core
match-making technologies. Incode's expectation is that its match-making
engine will be used to enhance the efficiency of and return on investment for
each of Incode's additional planned online dating oriented acquisitions and
projects.

Jim Grainer, president and chief financial officer of Incode, stated that,
"The scalability of these technologies means that the costs of customer
acquisition, conversion and retention can be realistically expected to
decrease as we build economies of scale. We believe that the greater cost-
efficiencies at scale will equate to higher degrees of earnings as we grow."

It is the company's expectation to be able to achieve revenues and
earnings within current industry standards and metrics for each of its
portfolio companies. For example, assuming that Incode's promotional
activities over time yields thirty million consumer impressions per year for
one of Incode's online dating portals, and using conventional rates of conversion for
online dating services, its subscriber base would grow to about 25,000 members. This
would generate approximately $6 million per year in subscription revenue at a
reasonable price of $19.95 per month. Since the bulk of the capital expense on
the technology is returned through the first portal's growth, each subsequent
portal based on the underlying technology has a more rapid return on
investment.

Incode also announced its plans to rebrand its KissyKat online
dating property as dateFetch in connection with the
completion of Incode's proposed acquisition by BIB.

The Online Dating Services Industry
In November 2003, Jupiter Research estimated that 2003 revenues for the
U.S. online dating services industry would be $313 million, growing to $642 million
in 2008. 21% of Internet users browsed online personals in the last year and
13% posted their own profiles" (Nov. 2003) Similarly, Hitwise, in February
2004, reported the market share of visits to online dating services in the
U.S. has grown over 52% from January 2003 to January 2004, making online
dating one of the fastest growing categories on the web.
